Corporate Management Structure

05 Jul Corporate Management Structure

A corporate management structure forms the basis for the chain of command between a corporation and their employees. The structure also determines how well an organization is able carry out its strategy and reach the business objectives. It also assists the firm in complying with labor laws and other governing laws. No matter what management structure a company employs all companies must examine and improve their command chain to ensure it is in line with the legal requirements of the countries where they operate.

In the majority of instances the CEO is responsible for all corporate activities. The CEO is the one who signs contracts and makes other legally binding decisions. The CEO is required to inform the board of directors of operations as well as risks and strategic planning.

The board of directors is accountable for establishing the company’s general policies and goals which must align with the interests of shareholders. The board must ensure that the company has the financial resources needed to meet its goals and make sound investments. The board should also make sure that the company is meeting all stakeholder needs, including those of local communities and customers.

Corporate boards can be composed of shareholders or senior managers who are inside directors. Inside directors can provide valuable insight into company projects and operations from an internal perspective. Outside directors can provide valuable perspectives that complement the knowledge and experience of inside directors.

Larger corporations may establish two-tier boards, which include the management board overseeing daily activities and a supervisory committee that is accountable for approving budgets as well as monitoring the most important corporate initiatives and projects. Two tiers of boards can enable the separation of managerial and executive duties. It also helps reduce the possibility of conflicts of interest by limiting the number of board members that are directly responsible for managing the company.
